Kennedy Wilson Set to Transform Rental Housing Sector with $347M Acquisition of Toll Brothers Apartment Living Platform

In a significant move within the multifamily apartment industry, Kennedy Wilson has entered into an agreement to acquire the Apartment Living platform from prestige home builder Toll Brothers. The transaction, valued at $347 million, promises to establish Kennedy Wilson as a major player in the rental housing sector. The strategic acquisition includes an in-house development team and stakes in both completed properties as well as those under development, effectively scaling Kennedy Wilson's investment management capabilities.

The impending deal, slated for closure by October 2025, is contingent upon customary closing conditions. Kennedy Wilson is set to gain direct control over assets under management (AUM) valued at $2.2 billion which encompasses 18 multifamily and student housing properties. Furthermore, they will assume construction management for an extensive development pipeline comprising 29 sites, projected to inject an additional $3.6 billion of capital into the company's portfolio.

The detailed terms further include Kennedy Wilson overseeing the management of 20 properties that Toll Brothers intends to divest over an unspecified period. This arrangement expands Kennedy Wilson's management coverage to an additional $3.0 billion of AUM. Toll Brothers' objective behind this divestment is to withdraw from the multifamily development arena, reallocating focus and capital towards their core single-family homebuilding business.

Adding depth to the acquisition, Kennedy Wilson will integrate Toll Brothers Apartment Living's proficient management team. In an endeavor to maintain continuity and expertise, Kennedy Wilson is expected to extend offers to all Apartment Living employees, with an anticipation that the executive team will join Kennedy Wilson in directing the current portfolio and fostering growth in the development sector.

Furthermore, the transaction sets the stage for a lasting collaboration between Kennedy Wilson and Toll Brothers. They aim to cross-refer investment prospects across rental and for-sale housing sectors, constructing a symbiotic pipeline for reciprocal business opportunities.

For Kennedy Wilson, the initial outlay linked to the acquisition will be approximately $90 million. The company will then step into the general partner role of the involved assets, with additional funding stemming from current Kennedy Wilson partners.

Kennedy Wilson Chairman and CEO William McMorrow remarked on the acquisition, stating, "We are thrilled to welcome the best-in-class team at Toll Brothers Apartment Living to Kennedy Wilson and to further accelerate the growth of our investment management business and multifamily development capabilities at a time when the country is in true need of new, high-quality housing." McMorrow cited the firm's comprehensive reach in the sector, encapsulating over 80,000 units through ownership, financing, or management, emphasizing the company's seamless integration within real estate development, acquisitions, and management, complemented by a distinguished housing-focused credit platform.

Echoing a positive outlook, Toll Brothers' Chairman and CEO Douglas C. Yearley, Jr. lauded the accomplishment of the Apartment Living segment, expressing enthusiasm for the team's future under Kennedy Wilson's stewardship. Yearley highlighted the capital release for shareholders and refocused commitment towards Toll Brothers' fundamental homebuilding operations. He conveyed satisfaction in ensuring a continued career path for Toll Brothers Apartment Living's personnel with Kennedy Wilson.

These unfolding developments are indicative of an industry shift towards consolidation and specialization, with Kennedy Wilson positioning itself for expansive growth within the nation's dynamic housing market.
